What Clients Said About Our
Mergers & Acquisitions Services

Chris G.

Woodward got the job done for the asking price! They helped us navigate the entire marketing, offers, negotiation, and detailed document process while ensuring we always had choices. We never felt backed into a corner and always knew where we stood.

Owner/Seller – Custom packaging manufacturer

$7.3 million in Sales and $1.4 million in EBITDA

Doug M

Thank you so much for helping us close out our client’s estate. With all of the drama around the estate settlement process, Woodward made the sale of his company simple for everyone. Without you, we know it would have been taken much longer and more complex.

Attorney/Advisor for the estate – Capital Equipment Builder

$2 million in Sales and $0.4 million in EBITDA

Chris H.

Thank you again for finding the Axxx family to buy my company.  I was nervous turning down the first few offers because I was so anxious to sell, but your counsel to ‘wait for the right fit’ was reassuring and it has worked out great.  I’m so happy working with them now, and I’m able to take the vacations that I had put off for so long.

Seller & Employee of The New Owner – Specialty alloy manufacturer

$4 million in Sales and $0.6 million in EBITDA

Tom T.

I never expected it to turn out the way it did, but Woodward’s creativity and guidance helped us get the most for our businesses as we move into retirement mode.  Thank you again for all your work and patience.

Seller/Owner – Airport and Flight Schools

$4 million in Sales and $0.5 million in EBITDA

Woodward’s M&A Process

Process Img 1

1. Expectations & Strategy

The Expectations & Strategy phase determines if there is a fit between what the client wants and what Woodward can deliver. Much of this centers on a company valuation, the terms of potential offers, and the time estimates to close.
Process Img 2

2. Materials Preparation

The Material Preparation phase is conducted concurrently with the Marketing Strategy portion of the prior phase. It involves preparing two groups of documents: Marketing and Data Room.
Process Img 3

3. Identification & Contact

This is the phase where we first contact the targets to assess their interest in investing in your company. We could begin this work immediately after the Material Preparation phase. Many times it involves multiple strategies and waves of contact.
Process Img 4

4. Terms & Conditions

In the Terms and Conditions phase, we provide enough information to the buyers to allow them to make an offer or accept the terms we’ve finalized. We help you and the buyer structure an acceptable offer to everyone and document these basic terms.
Process Img 5

5. Due Diligence & Financing

The Due Diligence and Closing phase is where the buyer verifies all the information about the company’s history, present status, and future opportunities.

Responsibility

The Woodward Company takes its responsibility seriously and ensures all deals are conducted in the seller’s best interests. We offer transparent and impartial advice throughout the deal-making process and provide comprehensive support to ensure a successful transaction that meets the seller’s objectives.

Templates

We have multiple samples of the documents required for marketing and attracting buyers, along with those (potentially) required for due diligence. Using these templates as starting points to customize to fit the needs of each client reduces the time requirement by dozens, if not hundreds, of hours.

Resources

Our proprietary database of over 1,200,000 private company transactions and 6,100 funds and investor groups is organized by market segment, geography, investment size, investment type, company stage, and keyword search criteria. These resources are critical to the valuation process and targeting the best buyer groups.

Methods

Our work is process-driven, and each step has been developed and refined over time. Tools have been created to support the process and are based on the collective experience of all our professionals.

Frequently Asked Questions

What are Mergers & Acquisitions (M&A) Services?

Mergers & Acquisitions (M&A) services refer to the strategic activities of merging two or more companies, or acquiring one company by another, to enhance business growth and attain specific goals.
This typically involves a transfer of ownership, management, and control of the merging entities, which combine resources, expertise, and customer base to form a synergistic whole.

An Investment Banker will assist in selling a business, getting loans, and finding investors/ partners for companies.

Yes, we have ready buyers, investors, and lenders for companies. However, the ‘best deal’ for the borrower or seller is often found through our database.

The most appropriate valuation methods depend on the type of business, it’s history, and forecasts for the future.

Whenever possible, we use the  ‘Comparable Transactions’ method in addition to others. ‘Comparable Transactions’ is widely recognized as the most accurate method for valuing a business.

Some other methods that can be applicable:

  • Discounted Cash Flow (DCF)
  • Adjusted Book Value
  • Economic Value Added (EVA)
  • Capitalized Adjusted Earnings
  • Liquidation methods.

All of these terms refer to people who assist in the sale of businesses and raising money for companies. The differences have to do with the laws and regulations that must be followed.
Investment Bankers are allowed to do the greatest range of transactions and follow the most strict regulations. The regulations are in place to protect clients and customers from unscrupulous providers.

Mergers and acquisitions are commonly used terms to refer to business combinations. However, there are key differences between them.
A merger occurs when two companies agree to combine their assets, operations, and resources to form a new entity. In contrast, an acquisition happens when one company acquires another, becoming the owner of its assets and liabilities.
In a merger, both companies contribute to the new entity’s equity, and the ownership is split equally or proportionally. There is a clear buyer and seller in an acquisition, and ownership is transferred entirely to the acquiring company.
Another significant difference is the motivation behind the transaction. Mergers are usually strategic, aiming to gain synergies, expand market share, or diversify revenue streams. Acquisitions, on the other hand, can be either strategic or financial, focusing on buying undervalued assets, gaining access to new technologies or products, or eliminating competition.

Often, when a company gets to an online forum, it means that people who know the business and company have decided not to buy it.

Our focus is finding buyers with companies that are ‘strategically similar’ to our client but not the same. Also, sellers often do not want customers, suppliers, employees, or competitors to know their company is for sale because it may hurt their sales or profits, which reduces the value.
